These Terms of Service ("Terms") govern your access to and use of the Localizeflow localization workflow service, websites, and related tools (collectively, the "Service"). By creating an Account or using the Service, you agree to be bound by these Terms on behalf of yourself or the entity you represent ("Customer"). If you do not agree to these Terms, do not use the Service.
These Terms are intended as a commercial agreement between you and Localizeflow. They are not legal advice, and Localizeflow is not a law firm. You should consult your own legal counsel to understand how these Terms apply to your specific situation.
Use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Overview and Acceptance
Localizeflow provides a managed localization workflow service designed for documentation repositories connected via GitHub. These Terms form a binding agreement between Localizeflow and the Customer and govern all access to and use of the Service by Users under the Customer's Account.
By accessing or using the Service, creating an Account, or clicking an acceptance mechanism (such as "I agree"), you represent that you have read, understood, and agree to be bound by these Terms. If you are accepting on behalf of an entity, you represent that you have the authority to bind that entity, in which case "Customer" refers to that entity.
Definitions
In these Terms:
- "Service" means the Localizeflow managed localization workflow platform, including the web application, APIs, GitHub App, related tools, documentation, and any updates or improvements.
- "Customer" means the organization or entity that has entered into a subscription or other agreement with Localizeflow to use the Service.
- "User" means an individual who accesses or uses the Service under a Customer's Account, such as an employee, contractor, or collaborator.
- "Account" means the registered account for the Customer within the Service, including associated workspaces, configuration, and User permissions.
- "Customer Content" means documentation, source files, repository content, images, notebooks, localization files, and any other data or materials that Customer or its Users submit to, store on, or process through the Service, including via the GitHub App integration.
- "Output" means any translations, localized files, suggestions, draft content, or other results generated by or through the Service based on Customer Content, including using third-party AI or translation APIs.
- "Subscription" means the paid plan(s) or tier(s) of the Service purchased by Customer, including associated usage limits, features, and subscription term.
- "Third-Party Services" means services, products, or applications not provided by Localizeflow that Customer chooses to use with the Service, such as GitHub, cloud hosting platforms, analytics tools, or AI/translation APIs.
Eligibility and Account Registration
The Service is intended for business and professional use. You may use the Service only if you are at least 18 years old and have the legal capacity to enter into a binding contract, or if you are accepting these Terms on behalf of an entity and have authority to bind that entity.
To access the Service, Customer must create an Account and provide accurate and complete information. Customer is responsible for maintaining the confidentiality of login credentials and for all activities that occur under its Account.
Customer must ensure that only authorized Users have access to the Account, and must promptly notify Localizeflow of any suspected unauthorized access or security incident. Localizeflow is not responsible for losses arising from compromised credentials that are not caused by Localizeflow.
For business Accounts, Customer is responsible for designating one or more administrators who can configure settings, manage Users, and control permissions within the Service. Customer acknowledges that administrative actions (such as inviting or removing Users, connecting repositories, or modifying permissions) may affect access to Customer Content and Output.
The Service
Localizeflow provides a managed localization workflow service that connects to Customer's documentation repositories, processes documentation content (such as Markdown, images, and notebooks), and generates Output to support localization workflows. The Service may use third-party vendors, including hosting providers, monitoring and analytics tools, email delivery services, payment processors, and AI/translation APIs, as subprocessors to operate and improve the Service.
To process localization jobs, the Service may run containerized worker jobs that temporarily clone the repositories and paths Customer has authorized through the GitHub App integration in order to generate Output and open pull requests. These working copies are short-lived and are not maintained as persistent full mirrors of Customer's repositories outside of GitHub, although Localizeflow may retain logs and limited metadata (such as file paths, commit identifiers, and usage metrics) as described in the Privacy Policy.
Localizeflow may modify, enhance, or discontinue features of the Service from time to time. Where changes materially reduce core functionality of a paid Subscription, Localizeflow will use reasonable efforts to provide advance notice.
Unless otherwise agreed in writing, the Service is provided on a Subscription basis and may be subject to usage limits, such as repository count, number of Users, or translation volume. Localizeflow may monitor usage to ensure compliance with these limits.
GitHub App Integration
The Service uses a GitHub App integration to connect to Customer's repositories. When Customer installs the GitHub App or authorizes access to specific repositories, Customer grants Localizeflow the permissions requested by the GitHub App to access repository metadata, documentation content, and related information necessary to operate the Service.
Customer is responsible for ensuring that it has all necessary rights and authorizations to connect the relevant repositories, grant access to Customer Content, and permit processing of that content through the Service. Customer is solely responsible for its configuration of the GitHub App and any changes to permissions or repository scope.
Customer may revoke the GitHub App's access at any time through GitHub. Revoking or altering access may impact the functionality of the Service, and Localizeflow is not responsible for any resulting limitations.
As part of the GitHub App integration, the Service may automatically create pull requests or commits in Customer's repositories. Customer is responsible for reviewing and approving these pull requests or commits before merging them into its repositories. Customer is also responsible for configuring its repository settings, including branch protections, required checks, and repository structures, in accordance with its own policies.
Customer Responsibilities
Customer is responsible for:
- Ensuring that its use of the Service complies with these Terms and all laws.
- Configuring the Service and GitHub App integration, including repository selection, access controls, and project settings.
- Reviewing and approving pull requests or commits generated by the Service before merging them, and ensuring that branch protections, required checks, and repository structures are configured in accordance with Customer's own policies.
- Managing User access, permissions, and internal policies governing use of the Service.
- Reviewing and validating Output before using it in production systems, documentation, or other public-facing materials.
Customer Content and Output
As between Customer and Localizeflow, Customer retains all right, title, and interest in and to Customer Content. Localizeflow does not claim ownership of Customer Content.
Customer is solely responsible for the nature, quality, and legality of Customer Content, including obtaining any consents or permissions required for its use and ensuring that Customer Content does not infringe or violate the rights of any third party or applicable law.
Customer grants Localizeflow a worldwide, non-exclusive, limited license to host, copy, process, transmit, and display Customer Content, and to generate and store Output, solely as necessary to provide, maintain, secure, and improve the Service, to prevent or address service, security, or technical issues, and as otherwise permitted in these Terms or in a separate written agreement.
Output is generated automatically based on Customer Content and may involve the use of third-party AI or translation APIs. Output is provided "as is" and may contain inaccuracies, omissions, or other errors. Customer is solely responsible for reviewing, validating, and approving Output before relying on it or publishing it, and for ensuring that its use of Output complies with applicable laws and internal requirements.
Localizeflow does not use Customer Content to train generalized AI or machine learning models that are made available to other customers or third parties, unless Customer has explicitly opted in to such use in a separate written agreement or clear configuration setting.
Acceptable Use
Customer and its Users must use the Service in a responsible manner and must not:
- Use the Service in violation of any applicable law, regulation, or third-party rights, including intellectual property, privacy, and export control laws.
- Submit or process Customer Content that is unlawful, defamatory, abusive, harassing, obscene, or otherwise objectionable, or that promotes discrimination, violence, or illegal activities.
- Use the Service to transmit spam, unsolicited communications, or deceptive messages.
- Attempt to gain unauthorized access to the Service or related systems, probe or scan for vulnerabilities, or disrupt or interfere with the integrity or performance of the Service.
- Attempt to circumvent usage limits, rate limits, or other technical restrictions of the Service, or use automated means to access the Service in a manner that imposes unreasonable or disproportionately large load on our infrastructure.
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of any component of the Service, except to the extent such restriction is prohibited by applicable law.
Localizeflow may apply reasonable technical limits on usage (such as rate limits, quotas, or throttling) to protect the stability and security of the Service. If Localizeflow determines that Customer's use of the Service exceeds reasonable usage for the applicable Subscription or poses a risk to the Service or other customers, Localizeflow may require Customer to reduce usage, upgrade to a higher tier, or may temporarily restrict access as described in these Terms.
Fees, Billing, Trials, and Taxes
Customer agrees to pay all fees specified in the applicable Subscription plan or order. Unless otherwise stated, fees are charged in advance for each billing period.
Certain parts of the Service may be billed based on usage units (for example, the number of localization jobs or similar measured units) as described on the applicable pricing page or order form. Where the Service is billed based on usage, Customer's fees will be determined based on Localizeflow's measurement of usage through its systems, logs, and billing records, which will control in the event of any discrepancy unless Customer can reasonably demonstrate an error.
Subscriptions will automatically renew at the end of each billing period (for example, monthly or annually) at the then-current rates unless Customer cancels the Subscription prior to renewal or the parties agree otherwise in writing.
Payments for the Service are processed by Paddle, our merchant of record (MoR) and authorized reseller. Your purchase is made from Paddle, and Localizeflow provides access to the Service as the supplier.
By starting a paid Subscription, Customer authorizes Paddle to charge the selected payment method for all applicable fees, taxes, and charges for each billing period. If a payment cannot be processed, Paddle or Localizeflow may suspend, limit, or downgrade access to the Service until payment is successfully collected.
Payment processing, refunds, and charge disputes for purchases handled by Paddle are governed by Paddle's buyer terms, including its invoiced consumer terms available at https://www.paddle.com/legal/invoiced-consumer-terms, together with these Terms and applicable law. In the event of any conflict with respect to a payment transaction, Paddle's buyer terms will prevail.
Unless explicitly stated otherwise, fees do not include taxes, levies, duties, or similar governmental assessments (collectively, "Taxes"). Customer is responsible for all Taxes associated with its purchases, excluding taxes based on Localizeflow's net income. If Localizeflow is required to collect Taxes, they will be added to the invoice and paid by Customer.
Localizeflow may, in its discretion, offer free trials, beta access, or a free tier of the Service. Any such access is provided "as is" and may be subject to additional terms, limitations, or restrictions. Localizeflow may modify or discontinue trials or free tiers at any time without notice.
Our refund practices, including any applicable refund periods, are described in our Refund Policy. For transactions processed by Paddle, refunds are additionally subject to Paddle's buyer terms and applicable consumer protection laws. To the extent required by such laws or by Paddle's buyer terms, we will honor any applicable rights you may have in relation to refunds in addition to what is described in our Refund Policy.
Confidentiality
"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes Customer Content, non-public product information, security and systems details, business and financial information, and the terms of any non-public agreements between the parties.
Each party will use the other party's Confidential Information only for purposes of performing its obligations or exercising its rights under these Terms, and will not disclose it to any third party except to its employees, contractors, and service providers who need to know it for such purposes and who are bound by confidentiality obligations at least as protective as those in these Terms.
The obligations in this section do not apply to information that the receiving party can demonstrate: (a) is or becomes publicly available without breach of these Terms; (b) was lawfully known to the receiving party before disclosure; (c) is received from a third party without breach of any confidentiality obligation; or (d) was independently developed by the receiving party without use of or reference to the disclosing party's Confidential Information.
A party may disclose Confidential Information to the extent required by law or legal process, provided that, where legally permitted, it gives reasonable prior notice to the other party and cooperates (at the other party's expense) with any efforts to seek protective measures.
Third-Party Services
The Service may depend on or integrate with Third-Party Services, including GitHub, cloud infrastructure providers, monitoring and analytics tools, email delivery services, payment processors, and AI or translation APIs. Customer's use of Third-Party Services is governed by the terms and privacy policies of those third parties, not these Terms.
Localizeflow does not control Third-Party Services and is not responsible for their availability, performance, security, or compliance. Outages, changes, or discontinuation of Third-Party Services may affect the Service, and Localizeflow will not be liable for any resulting unavailability or degradation, provided Localizeflow uses reasonable efforts to mitigate material adverse impacts on the Service.
Where Third-Party Services act as subprocessors of Personal Data, Localizeflow will engage them under appropriate data protection terms as described in the Privacy Policy and any applicable data processing agreement.
Suspension and Termination
Customer may terminate its Subscription and Account at any time by following the cancellation process provided in the Service or by contacting Localizeflow (or, where applicable, Paddle) using the instructions in the order confirmation or invoice. Unless otherwise specified, cancellation will take effect at the end of the then-current billing period, and Customer will remain responsible for all fees through that date. To avoid being charged for the next renewal term, Customer should complete cancellation before the renewal date, and we recommend doing so at least 48 hours before the end of the current billing period to allow sufficient processing time.
Localizeflow may suspend or restrict access to the Service immediately if: (a) Customer or a User breaches these Terms; (b) Customer's use of the Service poses a security risk to the Service, Localizeflow, or others; (c) Localizeflow is required to do so by law or by a governmental authority; or (d) Customer's payment is overdue.
Localizeflow may terminate the Subscription or these Terms upon notice if Customer materially breaches these Terms and fails to cure the breach within a reasonable period after receiving notice, or immediately in cases of repeated or severe breach, fraud, or abuse.
Upon termination or expiration of the Subscription: (a) Customer's right to access and use the Service will cease; (b) Localizeflow may disable Account access; and (c) Localizeflow will handle Customer Content in accordance with the Privacy Policy (see in particular the Data Retention section) and any applicable data processing agreement. Where technically feasible and subject to applicable law, Localizeflow may provide Customer with an opportunity to export certain Customer Content within a limited period after termination.
Disclaimers
To the maximum extent permitted by law, the Service, including all Output, is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.
Localizeflow specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranties arising out of course of dealing or usage of trade. Localizeflow does not warrant that the Service or Output will be error-free, uninterrupted, secure, or that it will meet Customer's requirements.
Output may be generated using automated systems, including AI or machine translation services, and may contain inaccuracies or other issues. Customer is solely responsible for reviewing and validating Output and for any decisions or actions taken based on Output.
Limitation of Liability
To the maximum extent permitted by law, in no event will Localizeflow be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities, arising out of or in connection with the Service or these Terms, whether based on contract, tort, or any other legal theory, even if a party has been advised of the possibility of such damages and even if a remedy fails of its essential purpose.
To the maximum extent permitted by law, Localizeflow's aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of: (a) the amount paid by Customer to Localizeflow for the Service during the three (3) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (US$100).
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
Indemnification
Customer will defend, indemnify, and hold harmless Localizeflow and its affiliates, officers, directors, employees, and agents from and against any claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Customer Content or Customer's use of Output; (b) Customer's or any User's use of the Service in violation of these Terms or applicable law; or (c) any allegation that Customer Content or Customer's use of the Service infringes, misappropriates, or otherwise violates the rights of a third party.
Localizeflow will promptly notify Customer of any claim subject to this section and will permit Customer to control the defense and settlement of the claim, provided that Customer may not settle any claim without Localizeflow's prior written consent if the settlement imposes any obligation on Localizeflow or admits fault on Localizeflow's part. Localizeflow may participate in the defense with its own counsel at its own expense.
Changes to the Service and Terms
Localizeflow may update the Service and these Terms from time to time. When we make material changes to these Terms, we will provide notice as appropriate under the circumstances, which may include updating the Effective Date at the top of this page, posting a notice in the Service, or sending an email to the primary contact on the Account.
Unless otherwise specified, the updated Terms will become effective upon posting. By continuing to access or use the Service after the updated Terms become effective, Customer agrees to be bound by the revised Terms.
Localizeflow may also introduce new features or change existing features as part of the Service. Where such changes materially reduce core functionality of a paid Subscription, Localizeflow will use reasonable efforts to provide advance notice.
Governing Law and Venue
Except as set out below for payment transactions handled by Paddle, these Terms and any dispute arising out of or relating to the Service or these Terms will be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of laws rules.
The parties agree that, subject to the next paragraph, the exclusive jurisdiction and venue for any disputes arising out of or relating to these Terms will be the state and federal courts located in Delaware, USA, and each party consents to the personal jurisdiction of such courts.
For payment transactions where Paddle acts as merchant of record, the governing law, dispute resolution mechanisms, and jurisdiction set out in Paddle's buyer terms will apply to the payment transaction and will prevail in the event of any conflict with this section.
If you are a consumer, you may also benefit from any mandatory provisions of the law of the country in which you are resident. Nothing in these Terms, including this section, is intended to limit those mandatory rights.
